1. Introduction

These Terms & Conditions (“Terms”) govern your use of the Newlead Digital website and any services, resources, or digital products provided by Newlead Digital (“we”, “us”, “our”).

By accessing our website, downloading our resources, or engaging our services, you agree to these Terms.
If you do not agree, you must not use our website or services.

2. Services We Provide

Newlead Digital offers services including (but not limited to):

  • Web design & development

  • Brand development

  • CRM setup and automation

  • AI automation and AI-assisted systems

  • Funnels, landing pages & online systems

  • SEO optimisation

  • Content creation assets

  • Hosting & maintenance plans

  • Digital guides, checklists, tools and ebooks

We may add, remove, or modify services at any time.

3. Quotes, Proposals & Agreements

All quotes and proposals are valid for 14 days unless stated otherwise.
By accepting a quote or making a payment, you agree to the scope outlined in the proposal.

Any work outside the agreed scope will be billed at our current hourly or fixed rates.

4. Payments & Billing

4.1 Payment Terms

  • A deposit (typically 30–50%) is required before work begins.

  • The remaining balance is due on completion, prior to website launch or asset handover.

  • Subscription or monthly services (e.g., hosting, maintenance, CRM) are billed automatically unless cancelled.

4.2 Late Payments

If payment is not received by the due date, we may:

  • Pause all work

  • Disable live websites or systems

  • Charge late fees or recovery costs

5. Client Responsibilities

To ensure timely delivery, the client agrees to provide:

  • Brand assets (logo, colours, images)

  • Relevant content (text, copy, product info, pricing etc.)

  • Access credentials as needed (domains, CRM, hosting)

  • Timely feedback and approvals (within 3–5 business days)

Delays in providing required material may delay the project.

6. Revisions

Every project includes a specified number of revision rounds as outlined in the proposal.

Additional revisions outside scope will incur an extra fee.

7. Project Timelines

Timeframes provided are estimates. Delays may occur due to:

  • Client delays in providing assets or feedback

  • Technical issues

  • Changes to scope

We are not responsible for delays caused by circumstances outside our control.

8. Intellectual Property

8.1 What You Own

Once the final payment is complete, you own:

  • The finished website design

  • Content you provided

  • Deliverables created specifically for your project (unless otherwise stated)

8.2 What We Retain

We retain ownership of:

  • Underlying frameworks, templates, code systems, and automations

  • Any pre-existing materials or intellectual property

  • Internal processes and automation architectures

These cannot be resold or redistributed without permission.

9. Digital Products (Tools, Templates, Ebooks)

Digital products provided through our Tools section are licensed for personal or internal business use only.

You may not:

  • Resell

  • Redistribute

  • Publish

  • Share publicly

  • Claim as your own creation

Unless explicit written permission is granted.

10. Deliverables & Website Launch

We will launch the website once:

  • Final payment is made

  • Client has approved the outcome

  • Necessary credentials are provided

We are not responsible for post-launch issues caused by third-party tools, hosting changes, or client modifications.

11. Hosting & Maintenance

If you subscribe to a hosting or maintenance plan:

  • We manage security updates, uptime monitoring, and small content edits.

  • Cancellation of the plan may result in reduced functionality or removal of premium features.

  • If hosting is cancelled without migrating the site, we may archive or remove files after 30 days.

12. AI Tools & Automations

For AI-related services, the client acknowledges:

  • AI outputs depend on third-party providers.

  • We are not responsible for changes to AI model behaviours.

  • We do not guarantee specific financial or performance outcomes.

We set up and optimise the systems, but their results depend on your business operations.

13. Third-Party Services & Integrations

We may integrate third-party tools including CRMs, analytics, booking systems, payment gateways, and AI providers.

We are not liable for issues caused by:

  • Downtime

  • Bugs

  • Outages

  • Price changes

  • Feature changes

within those third-party platforms.

14. Cancellations & Refunds

14.1 Services

Due to the custom nature of our work, refunds are not offered once a project has begun.

14.2 Digital Products

No refunds are provided for downloadable digital products, templates, or tools.

14.3 Subscriptions

Subscriptions may be cancelled at any time; however, no pro-rata refunds are provided.

15. Limitation of Liability

To the maximum extent permitted under Australian law:

  • We are not liable for any loss of revenue, profit, or data.

  • Our liability is limited to the total amount paid for the service in question.

  • All services are provided “as is” without warranties of exact performance outcomes.

16. Indemnity

You agree to indemnify Newlead Digital from any claims, damages, or expenses arising from:

  • Your misuse of our website

  • Modifications you make to deliverables

  • Content you provide

  • Breach of these Terms

17. Termination

We may terminate services if the client:

  • Fails to provide required materials

  • Abuses communication

  • Does not pay invoices

  • Violates these Terms

All completed work must be paid in full upon termination.

18. Governing Law

These Terms are governed by the laws of Queensland, Australia.

Any disputes will be handled in Queensland courts.
